Definition of Proposal/Offer (Section 2(a) of the Indian Contract Act, 1872) Section 2(a) states: "When one person signifies to another his willingness to do or to abstain from doing anything, with a view to obtaining the assent of that other to such act or abstinence, he is said to make a proposal ." Key elements: Signifies willingness: There must be an expression of desire. To do or to abstain from doing: The proposal can be positive (to do something) or negative (to not do something). To another: The proposal must be addressed to a specific person or the world at large. With a view to obtaining assent: The intention must be to get the other party's agreement, not just to state a wish or intention.
